About These Terms
These Terms of Service ("Terms") govern your access to and use of tenex social, operated by Studio074 ("we," "us," or "our"), a sole proprietorship based in Ontario, Canada. By creating an account or using the Service in any way, you agree to these Terms. If you are using the Service on behalf of a business, you confirm that you have authority to bind that business to these Terms.
1. What We Provide
tenex social is an AI-powered social media management platform. It helps you plan, generate, schedule, and publish content across social media platforms. We may update or change what the Service does over time, and we will do our best to communicate significant changes in advance.
2. Your Account
You are responsible for keeping your account credentials secure. Please do not share your password. If you suspect unauthorized access to your account, contact us at [email protected] immediately.
You must be at least 13 years old to use the Service. If you are using it on behalf of an organization, you represent that the organization agrees to these Terms.
3. Acceptable Use
You agree to use the Service only for lawful purposes. You must not:
- upload or publish content that is illegal, defamatory, or infringing;
- attempt to reverse-engineer, scrape, or interfere with the platform;
- resell or sublicense access to the Service without our written consent; or
- use the Service to harass, spam, or deceive others.
You are responsible for all content published through your account, including content generated or scheduled by the AI. We do not review your content for legal compliance.
4. Subscriptions and Billing
tenex social is a paid subscription service. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. All payments are processed by Stripe. We do not store your full card details.
If a payment fails, Stripe may retry the charge. We will notify you by email if we are unable to collect payment, and your access may be suspended until the balance is resolved.
All fees are listed in Canadian dollars (CAD) unless otherwise stated. Prices may change with reasonable notice.
Refunds. Because the Service provides immediate access to AI tools and generated content, we do not offer refunds after a billing period begins. If you are unhappy with the output, we will work with you to revise it.
Cancellation. You may cancel your subscription at any time through your account settings. To avoid being charged for the next billing cycle, please cancel at least 7 days before your renewal date. Content production for the next cycle may begin before that date, so late cancellations may still result in a charge.
5. Your Content
You retain ownership of all content you upload, create, or publish through the Service ("Your Content"). By using tenex social, you grant us a limited, non-exclusive, worldwide license to store, reproduce, and display Your Content solely to operate and improve the Service.
Showcase use. We may display examples of content published through tenex social on our website or in marketing materials to demonstrate what the platform can do. If you would prefer your content not be used this way, email us at [email protected] and we will remove it from our controlled pages within a reasonable timeframe. We cannot control third-party caching or indexing.
6. Our Intellectual Property
The tenex social platform, including its design, software, AI models, and all original content we create, belongs to Studio074 or its licensors. Nothing in these Terms transfers any ownership of our property to you. You receive only the limited right to use the Service as described here.
7. Third-Party Platforms and Integrations
To publish content on your behalf, tenex social connects to third-party social media platforms using access tokens you authorize. We are not responsible for those platforms' actions, including account restrictions or policy changes that may affect your ability to publish. Your continued access to any third-party platform is subject to that platform's own terms.
The Service may also link to or depend on other third-party tools and services. We are not responsible for their availability, accuracy, or practices.
8. Suspension and Termination
We may suspend or terminate your access if you violate these Terms, fail to pay, or if we decide to discontinue the Service. We will try to give reasonable notice where possible, but we may act immediately in serious cases. You may close your account at any time through your account settings.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES. YOU USE THE SERVICE AT YOUR OWN RISK.
AI-generated content may be inaccurate or incomplete. You are responsible for reviewing all content before it is published. We are not liable for outcomes that result from publishing AI-generated content without review.
We also do not guarantee that posts will go out at the exact scheduled time. Platform outages, API changes, or other technical factors outside our control may cause delays or missed posts.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Studio074 is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service, including lost profits, data loss, or reputational harm.
Our total liability to you for any claim related to the Service will not exceed the greater of CAD $100 or the amount you paid us in the three (3) months before the claim arose.
11. Indemnification
You agree to defend and hold Studio074 harmless from any claims, losses, or expenses (including reasonable legal fees) that arise from your use of the Service, your content, or your violation of these Terms.
12. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
If you have a dispute with us, please reach out first at [email protected]. We will make a genuine effort to resolve it within 60 days. If we cannot reach a resolution, disputes will be referred to binding arbitration through the ADR Institute of Canada (ADRIC), with proceedings held in Ontario, Canada, or in your municipality of residence at your election.
Each party may bring claims only in their individual capacity. Neither party may participate in a class action or representative proceeding related to these Terms.
You may opt out of arbitration within 30 days of first accepting these Terms by emailing [email protected] with your name, account email, and a clear statement that you wish to opt out. This does not affect any other part of these Terms.
13. General
Changes. We may update these Terms from time to time. We will post the revised version here with an updated date. Continued use of the Service after changes are posted means you accept the new Terms.
Severability. If any part of these Terms is unenforceable, the rest remains in effect.
Assignment. We may transfer our rights under these Terms to another party. You may not transfer your rights without our written consent.
Entire Agreement. These Terms and the Privacy Policy are the complete agreement between you and Studio074 regarding the Service.
Force Majeure. We are not liable for failures caused by events outside our reasonable control, including outages, natural disasters, or government actions.
